These Terms of Service ("Terms") govern your access to and use of the Lína website at discoverlina.com and the Lína production management platform at app.lina.tools (collectively, the "Service"), operated by Hyperfokal LLC ("Hyperfokal," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using any part of the Service, you confirm that you are at least 13 years of age (or the applicable age of digital consent in your jurisdiction) and agree to comply with these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include that organization.
2. Beta Service Disclaimer
The Service is currently offered as an open beta. During the beta period, the Service is provided free of charge to registered users. As a beta product, the Service may contain bugs, errors, or incomplete features, and is subject to change at any time without notice. While we make reasonable efforts to maintain the stability and integrity of the Service and your data, we cannot guarantee uninterrupted access or the prevention of data loss during the beta period. We strongly recommend that you maintain independent backups of any critical project data. The beta period may end at any time, at which point subscription pricing as described on our website will take effect with advance notice.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorized access to or use of your account. We reserve the right to suspend or terminate accounts that contain false or misleading information.
4. Use of the Service
You may use the Service for lawful production management purposes in accordance with these Terms. You agree not to: use the Service for any unlawful purpose or in violation of any applicable laws; attempt to gain unauthorized access to any portion of the Service, other accounts, or systems connected to the Service; interfere with or disrupt the integrity or performance of the Service; reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service; use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent; use the Service to distribute malware, spam, or other malicious content; resell, sublicense, or commercially redistribute the Service or access to it; or upload content that infringes the intellectual property rights of any third party.
5. Your Content and Intellectual Property
You retain full ownership of all content you upload, create, or store through the Service, including but not limited to screenplays, breakdowns, schedules, shot lists, storyboard images, cast and crew data, call sheets, and any other project materials ("Your Content"). We claim no ownership interest in Your Content.
By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, transmit, and display Your Content solely as necessary to provide the Service to you and your authorized collaborators. This license terminates when you delete Your Content or your account.
You represent and warrant that you have all necessary rights, licenses, and permissions to upload and use Your Content through the Service, and that Your Content does not infringe upon the intellectual property, privacy, or other rights of any third party.
6. No AI Training or Use of Your Content
We are committed to protecting the creative work of filmmakers. Your Content is never used, shared, sold, or licensed to train, develop, fine-tune, or otherwise improve artificial intelligence models, machine learning systems, or large language models — whether by us or any third party. The Service does not incorporate artificial intelligence features, and Your Content is accessed only as necessary to provide the Service to you. This commitment is a core principle of Lína and will not change without explicit, prior consent from affected users.
7. Collaboration and Shared Access
The Service allows you to invite collaborators to access your projects. When you share a project, you are responsible for managing the access level granted to each collaborator. We are not responsible for any actions taken by collaborators you have authorized to access your projects. Collaborator accounts are provided free of charge and are subject to these same Terms.
8. Subscription and Billing
Following the beta period, access to certain features of the Service will require a paid subscription. Subscription plans, pricing, and feature allocations are described on our website and are subject to change. We will provide at least 30 days' advance notice of any pricing changes that affect your current subscription. Subscription fees are billed on a monthly basis. You may cancel your subscription at any time, and access to paid features will continue through the end of the current billing period. Refunds are not provided for partial billing periods except as required by applicable law. We reserve the right to change or discontinue subscription plans with reasonable notice.
9. Education Accounts
Users who register with a valid .edu email address are eligible for free access to the Service under the Education tier. Education accounts are intended for students and educators for non-commercial, educational use. We reserve the right to verify the eligibility of Education accounts and to reclassify accounts that do not meet the eligibility criteria.
10. Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted, timely, secure, or error-free access to the Service. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes that materially affect your use of the Service. We are not liable for any modification, suspension, or discontinuation of the Service.
11. Intellectual Property of the Service
The Service, including its design, source code, features, user interface, branding, logo, documentation, and all associated intellectual property, is owned by Hyperfokal LLC and is protected by copyright, trademark, and other applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, domain names, or other brand features beyond what is necessary to use the Service as intended. The name "Lína" and the Lína logo are trademarks of Hyperfokal LLC.
12. Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. Our Cookie Policy describes the cookies and similar technologies used by the Service. By using the Service, you acknowledge that you have read and understand these policies.
13. Termination
You may terminate your account at any time through your account settings or by contacting us at [email protected]. We may suspend or terminate your access to the Service if you violate these Terms, engage in fraudulent or abusive activity, or otherwise misuse the Service. We will make reasonable efforts to notify you before or promptly after any suspension or termination, except where we are prohibited by law or where immediate action is necessary to protect the Service or other users. Upon termination, your right to use the Service ceases immediately, and we will delete your data in accordance with our Privacy Policy.
14. Indemnification
You agree to indemnify, defend, and hold harmless Hyperfokal LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; Your Content; your violation of these Terms; or your violation of any rights of any third party. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.
15. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Hyperfokal LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or related to your access to or use of (or inability to access or use) the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages. Our total cumulative liability for all claims related to the Service shall not exceed the greater of the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim or fifty U.S. dollars ($50.00).
16. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your specific requirements, that the Service will be uninterrupted, timely, secure, or error-free, or that any defects in the Service will be corrected. You use the Service at your sole risk.
17. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction of such courts.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
19. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Hyperfokal LLC regarding your use of the Service and supersede all prior agreements, understandings, or representations, whether written or oral.
20. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, the Service, or applicable law. We will notify you of material changes by email or through a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
